- To attend and support advanced commercial discussions, translate strategic engagements into legally enforceable agreements, and manage the full contract lifecycle from negotiation through execution and operational conformity, ensuring the company’s commercial exposure is appropriately structured, documented, and controlled. The incumbent will also act as the internal custodian of commercial governance and contractual risk.
Executive Commercial Support
- Attend high-level commercial negotiations and partnership discussions
- Identify key commercial, legal and risk considerations in real time
- Record and structure agreed commercial principles.
Contract Structuring & Drafting
Draft and review:
- Crushing and screening service agreements.
- Mining services contracts.
- Equipment hire agreements.
- Joint venture and subcontracting agreements.
- MOUs and NDAs.
- Align legal wording with financial and operational assumptions
- Prepare risk summaries for executive decision-making.
Deal Management & Execution
- Drive agreements from discussion phase to signature.
- Coordinate with external legal advisors where required
- Ensure clarity between commercial intent and legal enforceability
- Maintain version control and structured approval processes.
Post-Signature Governance
- Monitor operational conformity with contractual obligations
- Conduct periodic reviews to ensure performance aligns with original commercial intention
- Identify risk exposure, deviation, and margin erosion
- Maintain a structured contract register.
Risk & Corporate Protection
- Protect the company from avoidable legal disputes through proactive structuring
- Identify commercial exposure before agreements are concluded.
- Ensure insurance alignment with contractual liabilities.
- Strengthen the company’s governance credibility with mining clients and partners.
Candidate Requirements
- B.Comm Law Degree (Compulsory)
- Minimum 5–8 years’ experience in: Mining services
- Mining contracting
- Infrastructure / EPC
- Commercial contract management
- Demonstrated experience drafting and negotiating complex commercial agreements.
- Exposure to mining contracts or crushing/screening operations.
- Experience in joint venture structuring.
- Strong understanding of risk allocation and liability management.
- High executive presence and professional maturity.
- Ability to operate independently without constant supervision.
- Strong analytical and commercial judgement.
- Strong financial literacy and commercial risk understanding.
- Experience working with external attorneys and senior executives.
- Advanced written communication and structured drafting ability.
