Opportunity available for a Company Secretary in the Legal and Compliance department, based in Doringkloof, Centurion.
The ideal candidate will be responsible for providing professional governance, statutory, and administrative support to the Chief Legal Officer and the wider Legal & Compliance team. The role ensures that the organisation meets all corporate governance obligations, regulatory filing requirements, and board/committee governance standards across multiple African jurisdictions. The position also supports legal administration and offers exposure to compliance responsibilities as part of future growth and development.

Academic and Trade Qualifications:
- LLB, BCom Law, or BA Law degree required.
- A governance-related qualification (e.g., Chartered Governance Institute certification, Paralegal or Company Secretarial diploma) is advantageous.
- Minimum 4+ years’ experience in a Company Secretarial, Corporate Governance, or legal support role, preferably within a multinational or regulated organisation.
- Experience working across Sub-Saharan Africa or with multi-jurisdictional entities is beneficial.
- Experience working for a listed company, beneficial.
- A valid passport is required, as some travel to operational sites and third-party networks across Africa may be necessary
Experience:
- Minimum 4+ years’ experience in a Company Secretarial, Corporate Governance, Legal Support, or Compliance role, ideally in a listed, multinational or regulated organisation.
- Experience working within a listed company environment is highly beneficial, particularly in relation to enhanced governance, reporting, and disclosure standards.
- Strong exposure to statutory compliance, company secretarial filings, and corporate governance processes.
- Experience preparing, filing, and managing multi-jurisdictional corporate documents, including incorporations, annual returns, apostilles, board resolutions, and director changes.
- Demonstrated experience supporting in-house legal teams, finance teams, and senior executives with governance, audits, and regulatory queries.
- Experience maintaining and coordinating business licences, external regulatory applications, and renewals across multiple countries.
- Strong background in maintaining insurance registers, asset registers, and supporting corporate insurance renewal cycles.
- Prior experience working across Sub-Saharan Africa or with multi-entity group structures is advantageous.
- Experience managing external service providers, including auditors, legal counsel, corporate agents, and consultants — ideally with accountability for budgeting and maintaining Letters of Engagement (LoEs).
Skills:
- Strong knowledge of corporate law, governance principles, statutory compliance, and recordkeeping best practice.
- High-level proficiency in MS Office, document management systems, and digital governance/filing tools.
- Excellent written and verbal communication skills, with the ability to clearly convey governance requirements to teams across the business.
- Exceptional attention to detail, accuracy, and disciplined document management.
- Strong organisational and time-management skills, with the ability to coordinate multiple deadlines across jurisdictions.
- Analytical mindset with the ability to identify discrepancies, evaluate risks, and propose pragmatic solutions.
- Ability to manage budgets, track external spend, and oversee multiple Letters of Engagement.

Fluent in English; French or Portuguese is an advantage.
