Our client is a leading telecommunications group that is aggressively growing across South Africa and the African continent. The ideal candidate will conduct due diligence, evaluations and analysis of selected merger and acquisition prospects as well as relevant disinvestments on behalf of the group in South Africa and the rest of Africa. This position will be investment focussed and less operational with Board participation at Group Level. The position will report directly to the Group Chief Executive Officer.
Description of Responsibilities:
·Screening and evaluation of acquisitions, joint ventures and divestiture opportunities,
·Execution of transactions including valuation and due diligence
·Oversee the development of deal summaries on behalf of the Group CEO and the Board of Directors Target Identification and Screening in translating Corporate Development Strategy into market specific target lists and identifying transaction candidates.
·Work with external resources to screen opportunities to match corporate development guidelines. Provide analytical and modelling support for targeted opportunities including DCF valuations, deal and market multiple analysis, deal structure and financing alternatives, WACC calculations, accretion / dilution analysis and deal sensitivities. Acquisition / JV / Divestiture Due Diligence
·Provide structure, leadership and analytical support for transactions including development of diligence plans and coordinating activities of both internal and external support resources.
·Execute diligence plans, research issues and provide input to decision makers on risks and valuation. Prepare Information Briefs for Deal Flow Prepare analysis and presentations for the approval of transactions for Group CEO and the Board of Directors.
·Help achieve Finance function goals including: Maximize financial flexibility Optimize Return on Invested Capital Build sustainable Cash Flow Ensure appropriate capital allocation
·Participate in various special projects as needed covering a wide variety of topics.
·Past projects have included market studies, public transaction analysis, and participation in strategic task force initiatives.
·Project management including risk management, driving a transaction in accordance with its timetable, liaising with key parties including clients bidders, targets, other advisors etc.; and
·Detailed report writing to support suggested transaction structures and funding mechanisms;
·Leading the compilation of key transaction documentation including teasers, information memorandums and management presentations for sell-side mandates and investment committee papers and bid documentation for buy-side mandates;
·Undertaking financial modelling as part of a transaction valuation, merger or acquisition model and for any funding models required;

Required Qualifications & Experiences:
·A 3-year tertiary qualification in finance, business, accounting, investment, or related field
·CA (SA) / any other related financial qualification
·CFA/ MBA/ PhD or equivalent would be an added advantage
·Executive level position with Board Participation – non negotiable
·A minimum of 10 years’ experience in Corporate Finance, Investment Banking or Financial Services
·At least 5 years’ experience within the Telecommunications Industry is preferrable
·A good knowledge and experience of more than 5 years in managing the Mergers & Acquisitions process from beginning to end
