Job Description
A large opencast mining organisation requires the legal
expertise of a Consultant specializing in mining, natural
resources, mining services, foreign direct investment, and
intellectual property rights.
Duties
Provide legal advice to the mining company on mineral and ore
concessions, mining operations, commodity transportations, land
issues, safety and environmental matters
Conduct legal research, and draft initial legal opinions on
institutional matters relating to, inter alia, relationships with
governments, inter-governmental organizations, non-governmental and
private sector entities, including issues related to status,
mandate and operational modalities
Advise on structuring, acquisitions, joint ventures,
restructuring, financing, compliance, and day-to-day issues with
regard to mining operation and trading.
Negotiation and drafting of concessions (production sharing
contracts), joint operating/joint venture agreements, farm-in
agreements, transportation agreements and project finance
Advise on day-to-day issues, including mining industry
regulations, regulatory compliance and environmental and safety
laws.
Assist with Labour Relations - coordinating the implementation
of a Labour Relations Model, provide technical advice in preparing
for annual wage mandating processing, collective bargaining
negotiations and coordinating capacity building programs
Assist the mining organisation in understanding and complying
with the government and mining legal system, whilst also giving
advice based on an appreciation of commercial issues
Assist in the establishment and operation of the new mine
(including drafting articles of association), providing advice on
issues such as company law, shareholder meetings, liability of
directors and commissioners, human resources, as well as general
corporate/mining matters and advising on contractual relationships
with other companies or third parties
Provide advice on, and preparing documentation related to,
general and commercial matters such as strategic alliances,
business competition, employment, environmental & safety
matters, real and
Assist in negotiation and settlement of claims and disputes
arising from agreements, contracts and other arrangements,
including commercial claims and disputes involving the mining
organization
Assists in the provision of advice on legal aspects of
procurement issues and assists in the review, preparation and
negotiation of substantial and complex contracts for headquarters
units and country offices, including leases, goods and services
contracts
Assist in the preparation and update of model legal
agreements.
Assist with negotiations with regulatory authorities relevant to
the particular investment (for example, the Department of Mineral
Resources, the Department of Trade and Investment) and in obtaining
the necessary business / mining licenses
Provide tax advice in transacting business on structuring
tax-efficient arrangements for local and international
transactions
Represent clients in tax disputes and representations before the
tax authorities
Requirements & Qualifications
Extensive experience and practice in mining, human resources,
foreign direct investment, and general corporate and commercial
law
Commercial and Legal Management practice in manganese mining and
trading
Knowledge of Financial Regulations and Rules, policies and
procedures;
Knowledge of OH&S Act 85 of 1993, OHSAS 18001, ISO 14001
& ISO 9001, MHSA Act 29 of 1996 and Minerals Act of 1990
